1. PARTIES, EFFECTIVE DATE AND TERRITORY.

4. COMMISSION — percentage basis [FOB value], when it is earned, when it is paid,

5. DISCLOSURE AND CONFLICTS — the Agent shall disclose any ownership interest in,
   or rebate received from, a recommended supplier.
6. PRINCIPAL RELATIONSHIP — the Agent does not contract in the Buyer's name unless
   expressly authorised in writing.
7. COMPLIANCE AND ANTI-BRIBERY — the Agent may not offer or accept improper payments.
8. CONFIDENTIALITY AND SUPPLIER LISTS — ownership after termination.
9. PERFORMANCE MEASURES — on-time delivery, defect rate, sample approval turnaround.
10. TERM, NOTICE, TERMINATION AND HANDOVER OF OPEN ORDERS.
11. LIABILITY AND INDEMNITY.
12. GOVERNING LAW AND DISPUTE RESOLUTION.
